These Terms & Conditions ("Terms") govern your access to and use of www.proofpros.com and www.proofseal.com (each, a "Site," and together the "Sites"), both of which are owned and operated by ProofSeal, Inc. ("ProofSeal," "we," "us," or "our"), and any related quoting tools, dashboards, or applications made available through either Site (collectively, the "Services"). ProofPros and ProofSeal are two consumer-facing brands operated by the same company, offering the same underlying service. By requesting a quote, creating an account, or otherwise using the Services as a homeowner or customer ("you" or "Customer"), you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. About the Services

ProofSeal, Inc. operates an AI-assisted platform that helps homeowners get instant estimates for home service projects (such as garage epoxy, driveway sealing, plumbing, HVAC, roofing, electrical, painting, landscaping, and handyman work) and connects them with certified, background-checked, and where applicable, licensed and insured service providers ("Providers" or "Pros"). The platform includes AI-generated price ranges, before-and-after photo documentation, an in-app messaging portal, invoice and scope agreement tools, and a review-and-release payment process.

2. Eligibility

To use the Services, you must:

  1. Be at least 18 years of age, or the age of legal majority in your jurisdiction;
  2. Have the legal capacity to enter into a binding agreement;
  3. Have the authority to request work on the property in question (as owner, tenant, or authorized representative); and
  4. Provide accurate, current, and complete information, including your name, email, phone number, service address, and project details.

3. AI Estimates Are Not Final Quotes

  1. The AI-generated price range shown on the Site is an estimate only, based on the information you provide, and is intended to give you a general sense of likely project cost.
  2. AI estimates are not binding offers, final quotes, or guarantees of price, and actual costs may vary based on a Provider's assessment, site visit, materials, and project scope.
  3. A final, binding price is established only once you and a Provider agree on a scope of work and invoice through the Services.

4. Role of ProofSeal; Relationship with Providers

  1. ProofSeal operates the platform that connects Customers with independent, third-party Providers. Providers are independent businesses and are not employees, agents, or representatives of ProofSeal.
  2. ProofSeal does not itself perform home services and is not a party to the contract for work between you and a Provider.
  3. While ProofSeal takes steps to background-check and, where represented, verify license and insurance status of Providers on the platform, ProofSeal does not guarantee the quality, safety, timeliness, or legality of any work performed by a Provider, and is not liable for the acts or omissions of any Provider.
  4. You are responsible for reviewing Provider profiles, ratings, reviews, and credentials, and for making your own decision about which Provider to engage.

5. Quotes, Scope of Work, and Change Orders

  1. Once matched with a Provider, you and the Provider will agree on a scope of work, price, and timeline through the in-app tools.
  2. Any changes to the agreed scope of work ("change orders") must be proposed and approved by both parties before additional work proceeds or additional charges apply.
  3. ProofSeal is not responsible for verbal agreements or changes made outside the platform's documented process.

6. Payments

  1. Where the Services include payment processing, funds may be held securely and released to the Provider only after you review and approve completed work, in accordance with the platform's review-and-release process.
  2. You agree to pay the agreed price for work you approve. Disputes regarding quality or completion of work should be raised through the in-app dispute process described in Section 7 before withholding payment, where possible.
  3. ProofSeal may use third-party payment processors to facilitate transactions and is not responsible for delays or errors caused by those processors.

7. Documentation and Dispute Resolution

  1. Providers are expected to document work with before, during, and after photos and notes, which are stored as part of your project or "Home Record."
  2. If you believe work was not completed as agreed, you may raise a dispute through the Services. ProofSeal will use the documented record (photos, messages, scope agreements, and invoices) to help facilitate resolution between you and the Provider, but does not guarantee any particular outcome and is not an arbitrator, mediator, or insurer of the work performed.

8. Home Record

Where available, ProofSeal may maintain a digital record of completed projects associated with your property ("Home Record"), including photos, receipts, warranties, and job notes, for your reference and potential future use (e.g., maintenance or resale). You are responsible for the accuracy of information you provide for your Home Record, and ProofSeal is not responsible for verifying claims made by third parties (such as warranty terms) referenced within it.

9. Communications

To protect your privacy, ProofSeal encourages Customers and Providers to communicate through the in-app messaging portal rather than sharing personal contact information directly. You are responsible for your own conduct in any communications with a Provider.

10. Prohibited Conduct

You agree not to:

  1. Submit false, misleading, or fraudulent information about your project, identity, or contact details;
  2. Attempt to circumvent the platform to transact directly with a Provider you were matched with in order to avoid platform protections or fees, where applicable;
  3. Harass, threaten, or discriminate against any Provider;
  4. Use the Services for any unlawful purpose;
  5. Interfere with or disrupt the operation of the Sites or underlying systems.

11. Disclaimers

The Services are provided on an "as is" and "as available" basis. ProofSeal makes no warranties, express or implied, regarding the accuracy of AI-generated estimates, the availability of Providers in your area, or the quality of work performed by any Provider. Ratings, reviews, and testimonials reflect individual experiences and do not guarantee similar outcomes for your project.

12. Limitation of Liability

To the fullest extent permitted by law, ProofSeal and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss arising out of or related to work performed by a Provider, your use of the Services, or your reliance on any AI-generated estimate, even if advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless ProofSeal and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your conduct on the platform, or your violation of any law or third-party right.

14. Termination

ProofSeal may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms, is harmful to other users or ProofSeal, or for any other reason at our discretion. You may stop using the Services at any time.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the united states, without regard to its conflict of law principles.
